Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the NinjaIT platform, website, and related services (collectively, the "Service") operated by NinjaIT ("we," "us," or "our").
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
NinjaIT is an IT management platform that provides remote monitoring and management (RMM), professional services automation (PSA), alerting, scripting, patch management, and AI-powered automation tools. The Service includes:
- A web-based dashboard for managing devices, alerts, scripts, and tickets
- A lightweight agent that runs on monitored devices to collect telemetry data
- APIs for integration with third-party tools and services
- AI-powered features including anomaly detection and automated remediation
3. Account Registration
- You must provide accurate, complete, and current registration information
- You are responsible for maintaining the confidentiality of your account credentials
- You are responsible for all activities that occur under your account
- You must notify us immediately of any unauthorized use of your account
- You must be at least 16 years old to create an account
- One person or organization may not maintain more than one free trial account
4. Subscription Plans and Billing
4.1 Plans
The Service is offered under tiered subscription plans (Starter, Professional, Business, and Enterprise) as described on our Pricing page. Each plan includes specific device limits, features, and support levels.
4.2 Free Trial
We offer a 14-day free trial with full access to your selected plan's features. No credit card is required for the trial. At the end of the trial, your account will be downgraded unless you subscribe to a paid plan.
4.3 Billing
- Paid subscriptions are billed monthly or annually in advance
- Annual subscriptions receive a 20% discount compared to monthly billing
- All fees are in US Dollars (USD) unless otherwise specified
- Prices are exclusive of applicable taxes, which will be added at checkout
- We accept major credit cards, ACH bank transfers (US), and SEPA (EU)
4.4 Upgrades and Downgrades
You may upgrade your plan at any time. Upgrades take effect immediately, with pro-rated charges applied for the remainder of the billing cycle. Downgrades take effect at the start of the next billing cycle.
4.5 Cancellation and Refunds
- You may cancel your subscription at any time from your account settings
- Upon cancellation, your account remains active until the end of the current billing period
- We do not provide pro-rated refunds for the remaining period of a cancelled subscription
- Annual subscriptions may request a full refund within 30 days of purchase
5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party rights
- Install agents on devices you do not own or have authorization to manage
- Attempt to gain unauthorized access to other users' accounts or data
- Reverse engineer, decompile, or disassemble the Service or agent software
- Use the Service to send spam, malware, or conduct denial-of-service attacks
- Resell, sublicense, or redistribute the Service without written permission
- Exceed the device limits of your plan or circumvent usage restrictions
- Use automated means to scrape, crawl, or extract data from the Service
We reserve the right to suspend or terminate accounts that violate these terms, with or without prior notice depending on severity.
6. Data Ownership and Licensing
6.1 Your Data
You retain all rights to your data. By using the Service, you grant us a limited license to process your data solely to provide and improve the Service. We will not access your data except to provide the Service, prevent or address technical issues, or as required by law.
6.2 Our Service
The Service, including all software, APIs, documentation, and content, is proprietary to NinjaIT and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Service during your subscription period.
6.3 Agent Software
The NinjaIT agent is licensed, not sold. You may install the agent only on devices you are authorized to manage and only within the device limits of your plan.
7. Service Level Agreement
For paid plans, we commit to a 99.9% monthly uptime for the core platform (dashboard, API, and alerting systems). Uptime excludes scheduled maintenance windows, which will be communicated at least 48 hours in advance.
If we fail to meet the 99.9% uptime commitment, you may be eligible for service credits as follows:
- 99.0% – 99.9% uptime: 10% credit of monthly fee
- 95.0% – 99.0% uptime: 25% credit of monthly fee
- Below 95.0% uptime: 50% credit of monthly fee
Service credits must be requested within 30 days of the incident and are applied to future invoices. Enterprise plans may negotiate custom SLAs.
8. Support
Support availability varies by plan:
- Starter: Community forums and email support (business hours)
- Professional: Email and live chat support (business hours)
- Business: Priority support with a dedicated customer success manager
- Enterprise: 24/7 phone, email, and dedicated Slack channel
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NINJAIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.
THE SERVICE IS PROVIDED FOR IT MONITORING AND MANAGEMENT PURPOSES. WE DO NOT GUARANTEE THAT THE SERVICE WILL DETECT ALL ISSUES, PREVENT ALL OUTAGES, OR RESOLVE ALL INCIDENTS AUTOMATICALLY.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or completely secure.
11. Indemnification
You agree to indemnify and hold NinjaIT harmless from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.
12. Termination
We may suspend or terminate your access to the Service if you violate these Terms, fail to pay fees when due, or engage in conduct that we determine is harmful to the Service or other users.
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination, during which you may request an export. After 30 days, your data will be permanently deleted.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms will be resolved in the courts of the State of Delaware.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or an in-app notification at least 30 days before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
